Terms of Use and Privacy Statement Revisions
SECURESTATE may at any time revise these Terms of Use or
Privacy Statement by updating this posting. By using the Site,
you agree to be bound by any such revisions and should therefore
periodically visit this page to determine the then current Terms
of Use and Privacy Statement to which you are bound.
Warranties
The Site and any references to products and/or services are
provided "as is" without any warranty or implied term of any
kind. SECURESTATE products are sold under specific purchase
agreements which set forth all terms and conditions of the sale,
including warranty terms and exclusions. You should carefully
read your sale agreement, especially the limited express
warranties which SECURESTATE makes in your agreement.
SECURESTATE disclaims and excludes any and all express and
implied warranties for your product and / or services which are
not set forth in your sale agreement whether or not information
on the product appears in the Site. THE EXCLUDED WARRANTIES,
INCLUDE, BUT ARE NOT LIMITED TO, ANY IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
SECURESTATE also disclaims and excludes any liability for
incidental or consequential damages. Some states (or
jurisdictions) do not allow certain of these exclusions, so
certain of these exclusions may not apply to you.
General
This agreement is governed by the laws of the State of Ohio,
U.S.A. You hereby irrevocably consent to the exclusive
jurisdiction and venue of courts in Cuyahoga County, Ohio,
U.S.A. in all disputes arising out of or relating to the use of
the Site. Use of the Site is unauthorized in any jurisdiction
that does not give effect to all provisions of these terms and
conditions, including, without limitation, this paragraph. You
agree to indemnify and hold SECURESTATE, its parents,
subsidiaries, affiliates, officers, employees, successors, and
assigns harmless from any claim, demand, or damage, including
actual attorney's fees, asserted by any third party due to or
arising out of your use of or conduct on the Site. SECURESTATE
reserves the right to disclose any personal information about
you or your use of the Site, including its contents, without
your prior permission if SECURESTATE has a good faith belief
that such action is necessary to: (a) conform to legal
requirements or comply with legal process; (b) protect and
defend the rights or property of SECURESTATE or its affiliated
companies; (c) enforce the Terms of Use; (d) act to protect the
interests of its members or others; or (e) comply with
conditions outlined in the SECURESTATE Privacy Statement. The
performance of SECURESTATE under this agreement is subject to
existing laws and legal process, and nothing contained in this
agreement is in derogation of the right of SECURESTATE to comply
with governmental, court, and law enforcement requests or
requirements relating to your use of the Site or information
provided to or gathered by SECURESTATE with respect to such use.
If any part of this agreement is determined to be invalid or
unenforceable pursuant to applicable law including, but not
limited to, the warranty disclaimers and liability limitations
set forth above, then the invalid or unenforceable provision
will be deemed superseded by a valid, enforceable provision that
most closely matches the intent of the original provision and
the remainder of the agreement shall continue in effect. Unless
otherwise specified herein, this agreement constitutes the
entire agreement between the user and SECURESTATE with respect
to the Site and it supersedes all prior or contemporaneous
communications and proposals, whether electronic, oral, or
written, between the user and SECURESTATE with respect to the
Site. A printed version of this agreement and of any notice
given in electronic form shall be admissible in judicial and
administrative proceedings based upon or relating to this
agreement to the same extent and subject to the same conditions
as other business documents and records originally generated and
maintained in printed form
